Contractual framework#
Part of the LDT Governance and Trust Framework — instantiates the iSHARE Data Space Template block Contractual framework (© iSHARE Foundation, see Legal notices).
Purpose#
Contracts are the formal expression of trust: institutional agreements (governance & participation), data-sharing agreements, and service agreements.
LDT instantiation — drafted by iSHARE#
The LDT contract stack, reusing iSHARE model agreements (ground rule: reuse before write):
- Accession agreement — one signature binds a participant to this scheme (all layers); template derived from the iSHARE accession model.
- Data-sharing terms — per offering, composed of: licence from the iSHARE Licence Catalog + ODRL policy + (where needed) bilateral annex. Standard terms cover the standard cases; bespoke clauses only for genuinely bespoke situations.
- Service agreements / ToU — ITB-S terms of use (iLabs), Marketplace of the EU LDT Toolbox & tokenisation ToU (Nunsys), observer/AI-agent service terms.
- Existing layer — the Consortium Agreement and Pilot Grant Agreement remain the umbrella during the pilot; this stack governs data-space participation, including post-pilot entrants.
Governance link: TIPS-approved scheme changes amend annexed terms per the change procedure; disputes follow the CA ladder (amicable → Steering Committee → jurisdiction per CA).

Guiding questions#
All 12 of the template's questions for this block, with the 6
LDT answerslots to fill, are on contractual-framework/guiding-questions.md. The digest below is the subset that most shapes this block.
- Universal participation agreement or differentiated per role? Which elements are standard in every agreement?
- Should governance decisions automatically amend contractual terms?
- How much customisation is allowed; are sector-specific annex modules foreseen?
- Centralised or decentralised dispute handling, and what are the consequences of non-compliance?
