Organisational form & governance authority#

Part of the LDT Governance and Trust Framework — instantiates the iSHARE Data Space Template block Organisational form & governance authority (© iSHARE Foundation, see Legal notices).

Purpose#

How the data space is structured, governed and held accountable: organisational/legal form, governance framework, and a governance authority that manages and enforces the rules.

LDT instantiation — drafted by iSHARE#

  • During the pilot: no new legal entity. The EUTwinLink consortium (11 partners, Consortium Agreement) is the carrier; Cartagena is Financial Support Recipient towards the funder; the TIPS Committee (monthly, all partners) is the governance body for this scheme; the Steering Committee handles escalations; iSHARE Foundation is Scheme Owner and custodian of the framework.
  • Decision-making: scheme changes are proposed as merge requests, discussed and minuted in TIPS; disputes escalate per the Consortium Agreement.
  • After M18: the sustainability chapter (see Business model) decides permanence: continuation under iSHARE scheme governance with a LDT council is the default option to elaborate.

Founding agreements in force: LDT4SSC Pilot Grant Agreement (Cartagena ↔ TGB) · EUTwinLink Consortium Agreement · this scheme (once TIPS-approved).

🧩 Building block requested — Owner: City of Almelo + Ayuntamiento de Cartagena (sign-off)#

What we need: review the governance-authority draft from the public-authority perspective: mandate boundaries, accountability and reporting lines toward the municipalities, and any local decision processes that must be respected.

Format: Markdown section in this page (merge request) · Due: 17 Oct 2026 (v0.9 review) · Status: OPEN

Guiding questions#

All 41 of the template's questions for this block, with the 17 LDT answer slots to fill, are on organisational-form-and-governance-authority/guiding-questions.md. The digest below is the subset that most shapes this block.

  • Should the initiative remain unincorporated (pilot) or incorporate later; what lifetime and scale are anticipated?
  • What governance bodies are necessary, how are decisions taken, and how are transparency and accountability ensured?
  • Who does day-to-day management; what reporting is required; how are conflicts resolved and compliance ensured?
